Terms of Service — Lorvax Studio

1. Acceptance of terms

By accessing or using cmaconsultoria.com or engaging Lorvax Studio LLC ("Lorvax") for services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our website or services.

2. Services

Lorvax provides digital marketing consultancy services including search engine optimization, content marketing, paid search management, and analytics. The specific scope of services for each engagement is detailed in a separate written agreement (Statement of Work) signed by both parties.

3. Client responsibilities

Provide timely access to website systems, analytics platforms, and personnel.
Approve or reject deliverables within agreed-upon review windows.
Ensure all materials provided to us are lawful and free of third-party rights.
Pay invoices in accordance with the payment schedule in the Statement of Work.

4. Fees and payment

Fees, billing frequency, and accepted payment methods are specified in each Statement of Work. Invoices are due net 15 unless otherwise agreed. Late payments may incur a 1.5% monthly finance charge.

5. Intellectual property

Upon full payment, the client owns all final deliverables created specifically for them. Lorvax retains ownership of pre-existing methodologies, frameworks, templates, and tools used in the course of providing services.

6. Confidentiality

Both parties agree to maintain the confidentiality of non-public information shared during the engagement. This obligation survives termination of the agreement for three (3) years.

7. Disclaimers

Search engine rankings, traffic, and conversion outcomes depend on numerous factors outside our control, including search engine algorithm updates, competitive activity, and client implementation timelines. Lorvax makes no guarantee of specific rankings or revenue outcomes.

8. Limitation of liability

To the maximum extent permitted by law, Lorvax's aggregate liability for any claim arising out of services provided shall not exceed the fees paid by the client to Lorvax in the three (3) months preceding the claim.

9. Termination

Either party may terminate an engagement with thirty (30) days' written notice. Fees for work completed through the termination date remain payable.

10. Governing law

These Terms are governed by the laws of the State of Louisiana, USA. Any dispute shall be resolved in the state or federal courts located in West Baton Rouge Parish, Louisiana.
